These Terms of Use (the "Terms" or "Terms of Use") apply to your access and/or use of our website located athttps://myops.ai/ (the "Site") and any services offered or provided by MyOps LLC ("Company", "we", "our", or "us") through the Site and/or otherwise provided by us, including but not limited to our real estate platform, the content on our Site and all other services that may be made available by us (the "Services"). We own and operate the Site and the Services.

As part of the Site and in our Services, we use artificial intelligence ("AI") and this AI may collect and/or process data ("AI Tools"). This may involve the use of third-party AI providers (e.g., OpenAI and Anthropic) to process data. These Terms govern the presence and use of AI Tools in our Site and in our Services.

1. Acceptance of Terms

If you are accessing and/or using our Site and/or Services for an entity, such as the company you work for, you represent that you have authority to bind that entity to these Terms, and you agree that "you", and "your", and "yourself" as used in these Terms includes both you personally and the entity you represent. If you are accessing our Site and/or Services on behalf of only yourself as an individual, then you agree that "you", and "your", and "yourself" as used in these Terms includes only you personally as an individual. Unless otherwise specifically stated in these Terms, these Terms apply to third-party businesses, individual consumers, and all others that access and/or use the Site and/or the Services.

These Terms constitute a legally binding agreement made between you and us. By accessing and using the Site and/or the Services (including, but not limited to the AI Tools) you represent and agree that: (i) you have read and familiarized yourself with these Terms; (ii) you understand these Terms, and (iii) you are bound by these Terms. If you do not accept and agree to all of these Terms, then you MUST NOT access and/or use this Site and/or our Services and/or AI Tools.

2. Definitions

The following words/phrases shall have the following meanings:

• "AI Tools" means the AI powered portions of the Site and Services, including, but not limited to "MyAI".
• "Agreement" means this Terms and any other terms or policies expressly incorporated by reference into this Terms.
• "Content" means all text, software, scripts, graphics, photos, videos, interactive features and other content, and all materials that you may access or view on the Site or via the Services.
• "Member" means a registered account holder.
• "Post" means to submit, upload, publish, display, transmit, share, store or otherwise make available on or through the Site and Services.

• "Privacy Policy" means our Privacy Policy available athttps://myops.ai/privacy-policy.
• "Third Party Accounts" means accounts of third-party services such as bank accounts linked through Plaid, Google accounts, Apple accounts, and other similar external service accounts that may be integrated with our Service.
• "User", "you","your" or "yourself" refers to any individual that uses the Site or Services including any Member.
• "User Content" means all Content that you or any other user Posts on the Site and via the Services. User Content also includes, but is not limited to, any content generated by your use of the AI Tools, whether such content is generated by you, from your data or inputs, or from a combination of both.

3. Changes to These Terms

We reserve the right, at our sole discretion, to change, modify, update, add, or remove any portion of these Terms at any time by posting the amended Terms on the Site. Additionally, we may notify you of changes to these Terms via the email address associated with your account. By your continued access or use of the Site and/or Services, you signify your agreement to any such changes and you will be bound by such changes.

Any changes to these Terms are effective as of the date we post the revised Terms of Use on the Site or such later date as may be specified on the revised Terms of Use.

4. Privacy Policy

Our Privacy Policy located athttps://myops.ai/privacy-policy is an integral part of these Terms. The Privacy Policy governs your use of the Site and Services. The Privacy Policy also governs our use of the AI Tools in our Site and in our Services. You agree by using the Site, Services, and/or the AI Tools that you have read and agree to the Privacy Policy. If you do not agree with the Privacy Policy, youMUST NOT use the Site and/or our Services and/or the AI Tools.

5. Your Account

5.1 Eligibility

To create an account you must be at least 18 years old or have the permission of your parent or guardian. Anyone who is not a minor, and has already been suspended from using our Site or Services, is not eligible to use the Site or our Services.

5.2 Creating Your Account

Creating an account with us means that you agree to these Terms. When creating an account you must give us information which is accurate, current, and complete and update this information as it changes. You should keep your account information and login credentials secure and treat it as confidential.

You must always maintain the confidentiality of all of your information. You shall be liable for any activity which occurs in your account, regardless of whether such activity was authorized by you or not. You must not provide false information. However, you may be able to register using a pseudonym if you wish. You may not impersonate any other person. You must be able to receive emails at the email address you use to register. If you register with a third-party account (such as Google or Apple), you give us permission to access your information from those third-party services.

5.3 Protecting Your Account

You are responsible for protecting your own account. Any activity on the Site or the Services from your account shall be treated as your own activity. This includes actions resulting from unauthorized access. If you detect any unauthorized activity, you must immediately change your password and notify us. If your actions on your account were authorized by you, you shall be responsible for any consequences which result.

6. Payments and Billing

6.1 Subscription Plans

MyOps offers various subscription plans with different features and pricing. Current pricing and plan details are available on our pricing page at myops.ai/pricing. Plans may include monthly or annual billing options.

6.2 Payment Terms

• Subscriptions are billed in advance on a recurring basis based on your selected plan
• You authorize us to charge your payment method automatically on each billing cycle
• All fees are non-refundable unless otherwise stated or required by law
• You must maintain a valid payment method on file
• Prices are subject to change with 30 days' notice to active subscribers

6.3 Failed Payments

If a payment fails, we may suspend your access to the Services until payment is resolved. After multiple failed payment attempts, we may terminate your account and access to the Services.

6.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial billing periods unless required by applicable law.

7. AI Tools

7.1 AI-Powered Features

Our Services include AI-powered features including, but not limited to, our AI assistant ("MyAI"). These AI Tools use third-party AI providers including OpenAI and Anthropic to process data and generate responses. By using our AI Tools, you acknowledge and agree to the following terms.

7.2 Data Processing

When you use AI Tools, your queries, inputs, and relevant business context are sent to third-party AI providers for processing. Please refer to their respective privacy policies and terms of use for information on how they handle this data. By using our AI Tools, you consent to this data processing.

7.3 AI Output Accuracy

AI responses are generated by machine learning models and may not always be accurate, complete, or appropriate. You acknowledge that:

• AI-generated content should be verified before use in business decisions
• AI Tools may occasionally produce incorrect, biased, or inappropriate outputs
• We do not guarantee the accuracy, reliability, or suitability of AI outputs
• You are solely responsible for decisions made based on AI recommendations

7.4 AI Limitations

AI Tools are provided "as is" and may be modified, limited, or discontinued at any time. We reserve the right to modify the functionality, availability, and scope of AI Tools without prior notice.

8. Third-Party Accounts

Our Services may integrate with third-party services including, but not limited to:

• Plaid: For bank account connections and financial data integration
• Stax Payments: For payment processing and billing
• Google: For authentication and calendar integration
• Apple: For authentication via Apple Sign-In
• OpenAI and Anthropic: For AI-powered features
• Google Maps: For address verification and mapping

Your use of these integrated services is subject to their respective terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

9. Intellectual Property

9.1 Our Intellectual Property

The Site, Services, and all Content (excluding User Content) are owned by MyOps LLC and protected by copyright, trademark, and other intellectual property laws. "MyOps" and related logos, names, and designs are trademarks of MyOps LLC. You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property without our prior written consent.

9.2 Your Content

You retain ownership of User Content you create or upload. By posting User Content, you grant us a limited, non-exclusive, royalty-free, worldwide license to use, store, display, reproduce, and distribute your User Content solely for the purpose of operating and improving our Services. This license terminates when you delete your User Content or close your account, except for copies retained for legal compliance purposes.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use, modify, and incorporate such feedback without compensation or attribution.

10. Acceptable Use

10.1 Permitted Uses

You may use the Site and Services only for:

• Tracking properties, contracts, transactions, and financial data

10.2 Prohibited Activities

You agree NOT to:

• Impersonate others or misrepresent your affiliation

• Use AI Tools to generate harmful, illegal, or inappropriate content

You agree to indemnify, defend, and hold harmless MyOps LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from or related to:

• Your use or misuse of the Site, Services, or AI Tools
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Your violation of applicable laws or regulations
• Any content generated through your use of AI Tools

14. Termination

14.1 Account Termination

We reserve the right to suspend or terminate your account and access to the Site and Services at any time, with or without cause, and with or without notice. Grounds for termination may include, but are not limited to: violations of these Terms, fraudulent activity, non-payment, harmful conduct, or any action we deem detrimental to our Services or other users.

Upon termination, your right to use the Services will immediately cease. We may retain your data as required by law or as described in our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive.

14.2 Data Export Upon Termination

You may request an export of your personal data and account-related content at any time. We will provide this data in a commonly used, machine-readable format (e.g., CSV, JSON). Export requests must be submitted at least 30 days before account closure to ensure timely delivery.

15. Dispute Resolution

15.1 Informal Resolution

If you have a dispute with MyOps, you agree to first contact us athello@myops.ai and attempt to resolve the dispute informally for at least thirty (30) days before initiating any formal proceedings.

15.2 Binding Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration will be conducted in English. The arbitrator's decision shall be final and binding. You waive your right to a jury trial or to participate in a class action lawsuit.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to bring claims as a plaintiff or class member in any class or representative proceeding.

15.4 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims involving intellectual property infringement, unauthorized access, or other matters requiring immediate judicial intervention.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Subject to the arbitration provisions above, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and MyOps LLC regarding the Site and Services, superseding all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of MyOps LLC.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

17.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including natural disasters, acts of government, telecommunications failures, or other force majeure events.

17.6 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to: intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.
